Terms of Service

These Terms of Service ("Terms") are an agreement between you and QuestWise LLC ("QuestWise," "we," "us" or "our"), a Texas limited liability company. They govern your use of our websites and apps, including Savant, Fluent Living and NicelySaid (the "Services"). By creating an account or using the Services, you agree to these Terms and to our Privacy Policy. If you don't agree, please don't use the Services.

1. Eligibility

You must be at least 13 years old to use the Services, and at least 18 to use Fluent Living. If you are under the age of majority where you live, you may use the Services only with the permission of a parent or legal guardian who agrees to these Terms.

2. Your account

You're responsible for the accuracy of the information you give us, for keeping your sign-in details secure, and for activity under your account. Tell us right away at support [at] questwise [dot] ai if you think your account has been used without permission. You may delete your account at any time; see Delete your account.

3. Subscriptions and payments

  • Some features may require a paid subscription or one-time purchase. Prices and what's included are shown before you buy.
  • Automatic renewal: subscriptions renew automatically at the end of each billing period at the then-current price unless you cancel at least 24 hours before the period ends.
  • Purchases through Google Play or the Apple App Store are billed by that store and are subject to its terms. Manage or cancel them in your store account settings. Refunds for those purchases are handled by the store under its refund policies.
  • Purchases on our websites are processed by our payment processor. You can cancel anytime from your account settings or by contacting us; cancellation takes effect at the end of the current billing period.
  • Free trials: if a trial is offered and you don't cancel before it ends, it converts to a paid subscription.
  • We may change prices with advance notice. Changes apply from your next billing period, and you can cancel before they take effect.
  • Except where required by law or store policy, payments are non-refundable.

4. Your content

"Your Content" means anything you create, upload, record or submit, including flashcards, files, written and spoken answers, and conversations.

  • You own Your Content. You grant QuestWise a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce and display Your Content only as needed to operate, provide and improve the Services for you, including sending it to our service providers (such as AI providers) as described in our Privacy Policy. This license ends when you delete Your Content or your account, except for copies kept in backups for a limited time or as required by law.
  • You're responsible for Your Content. You confirm you have the rights to upload it. Don't upload material you don't have permission to use, such as copyrighted textbooks or media you are not allowed to copy. Personal study use of material you lawfully own may be permitted, but you are responsible for that judgment.
  • We don't sell Your Content and we don't share it publicly unless you choose a feature that does so.

5. AI features

The Services use artificial intelligence to generate conversations, characters, scenarios, feedback, grades, speech and images ("AI Output").

  • AI Output may be inaccurate, incomplete or inappropriate. Check important information independently, especially anything you plan to rely on outside the app.
  • AI characters are not real people. Characters in Fluent Living and NicelySaid are fictional, AI-generated personas. They are designed to help you learn, not to provide professional, medical, legal, financial or mental-health advice, and they are not a substitute for human relationships or professional help.
  • Subject to these Terms and the AI providers' terms, you may use AI Output generated for you for your personal learning.
  • Don't use AI features to generate content that violates Section 6.

6. Acceptable use

You agree not to:

  • break any law, or infringe anyone's intellectual property, privacy or other rights;
  • upload content that is illegal, sexually explicit involving minors, hateful, harassing, threatening or that promotes violence or self-harm;
  • try to make AI features produce such content, or to bypass safety limits;
  • upload viruses or malicious code, or interfere with the Services' security or operation;
  • access the Services by automated means (scraping, bots) without our written permission, or overload our systems;
  • reverse engineer, decompile or copy the Services, except where the law allows;
  • resell, sublicense or share your account or access, or impersonate anyone.

7. Our intellectual property

The Services, including their software, design, text, curricula, characters, graphics, and the QuestWise, Savant, Fluent Living and NicelySaid names and logos, are owned by QuestWise or its licensors and protected by law. We give you a personal, limited, non-exclusive, non-transferable, revocable license to use the Services for your own non-commercial learning, in line with these Terms. If you send us feedback or ideas, we may use them without obligation to you.

If you believe content on the Services infringes your copyright, email support [at] questwise [dot] ai with: your contact information; a description of the copyrighted work; where the material appears; a statement that you have a good-faith belief the use is not authorized; a statement, under penalty of perjury, that your notice is accurate and that you are the owner or authorized to act for the owner; and your physical or electronic signature. We may remove the content and, for repeat infringers, terminate accounts.

9. Suspension and termination

You can stop using the Services and delete your account at any time. We may suspend or end your access if you violate these Terms, if required by law, or to protect the Services or other users. Where reasonable, we'll tell you why and give you a chance to export Your Content. Sections that by their nature should survive termination (such as Your Content license limits, disclaimers, limitation of liability and governing law) will survive.

10. Disclaimers

The Services are provided "as is" and "as available." To the fullest extent permitted by law, QuestWise disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement and accuracy. We don't guarantee that the Services will be uninterrupted or error-free, or that you will achieve any particular learning result, test score, fluency level or professional outcome.

11. Limitation of liability

To the fullest extent permitted by law, QuestWise and its members, managers, employees and contractors will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, data or goodwill, arising out of or related to the Services. Our total liability for any claim related to the Services is limited to the greater of (a) the amount you paid us for the Services in the 12 months before the claim arose, or (b) US $100. Some jurisdictions don't allow certain limitations, so some of these may not apply to you.

12. Indemnity

To the extent permitted by law, you agree to defend and indemnify QuestWise against claims, losses and expenses (including reasonable legal fees) arising from Your Content or your violation of these Terms or of law.

13. Governing law and disputes

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Before filing a claim, you agree to contact us at support [at] questwise [dot] ai and try to resolve the dispute informally for at least 30 days. Any dispute that isn't resolved will be brought exclusively in the state or federal courts located in Texas, and you and QuestWise consent to their jurisdiction, except that either party may bring an individual claim in small claims court. If you live in a country whose consumer laws give you the right to bring claims in your local courts or under your local law, nothing in these Terms takes away those rights.

14. App store terms

If you download our apps from the Apple App Store or Google Play, these Terms are between you and QuestWise, not Apple or Google. Apple and Google are not responsible for the apps or their content, have no obligation to provide maintenance or support, and are not responsible for any claims relating to the apps. If you use an app downloaded from the Apple App Store, Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. Your use must also comply with the applicable store's terms of service.

15. General

  • Changes: we may update these Terms. We'll post the new version with a new date and, for material changes, notify you in the app or by email before they take effect. Continuing to use the Services after that means you accept the updated Terms.
  • Entire agreement: these Terms and our Privacy Policy are the entire agreement between you and QuestWise about the Services.
  • Severability: if any part of these Terms is unenforceable, the rest stays in effect.
  • No waiver: our not enforcing a provision isn't a waiver of it.
  • Assignment: you may not transfer these Terms; we may transfer them in connection with a merger, acquisition or sale of assets.
